These terms apply when you use adnys.com or buy any service or product from ADNYS FZE, a Free Zone Establishment licensed by the Sharjah Research, Technology and Innovation Park (SRTIP) Free Zone, Government of Sharjah, United Arab Emirates (licence no. 9380). "We", "us" and "ADNYS" mean ADNYS FZE. "You" means the person or business using our website or buying from us. By using this website or paying us, you agree to these terms.

1. Our services

ADNYS FZE is licensed by SRTIP for Information Technology Consultancy, Logistics Consultancy, Freight Broker, Project Management Services and General Trading.

Our main business is IT consultancy. As part of it, we provide digital support services, including:

• website and app development
• software products
• hosting, domain and business email setup
• maintenance and annual maintenance contracts (AMC)
• design and branding support
• digital marketing support

We also provide logistics consultancy, freight brokerage and project management services. Each service is described on our website or in the quote we send you.

2. Quotes and orders

• Prices on our website are starting prices. For custom work we send a written quote showing the scope, price, timeline and payment schedule.
• An order is confirmed when you accept our quote, we issue an invoice, and we receive the first payment.
• Work outside the agreed scope is charged separately after you approve it.

3. Prices and payment

• All prices are in UAE Dirhams (AED) and exclude VAT. VAT at the applicable UAE rate is added to our invoices (ADNYS FZE TRN 105077502000001).
• Online card payments are accepted only against an invoice issued by ADNYS FZE, for the exact amount shown as due. You pay through our "Pay an Invoice" page or the secure payment link in the invoice email.
• Online payments are processed securely through ADNYS Pay (pay.adnys.com), our payment platform, using our payment partner Tap Payments. We accept Visa, Mastercard, Apple Pay and Google Pay. Bank transfer is also available on request.
• Website and app projects normally need a 50% advance to start, with the balance due before handover or launch, unless your quote says otherwise.
• Monthly plans (Website Care, SEO, Social Media, Ads Management) are paid in advance each month. Ad spend for Google, Meta and other platforms is paid separately and is not part of our management fee.
• Third-party items such as domains, hosting, business email (Google Workspace, Microsoft 365), SSL certificates, paid plugins, licences and API services are charged at the price shown in your quote and renew on the provider's schedule.
• If a payment is overdue, we may pause work or services until it is paid.

4. Card payments

• We accept payments online using Visa and Mastercard credit/debit cards in AED.
• Card details are entered on Tap Payments' secure page. ADNYS FZE does not see or store your full card details.
• The cardholder must keep a copy of the transaction record and of our policies.
• We will not trade with or provide any services to OFAC-sanctioned countries, or to any person or entity on a sanctions list, in line with UAE law.
• Customers using the website who are minors (under 18) are not allowed to register as users or make payments.

5. Delivery of services

• Services are delivered digitally (for example: website launch, files, account access, reports) or in person in the UAE. We do not ship physical goods unless agreed in writing.
• Timelines start once we receive the advance payment and all content and access we need from you. Delays in providing content, feedback or approvals extend the timeline.
• Package delivery times shown on our website (for example "10 days") are working days and are estimates.

6. Your responsibilities

• Give us accurate information, content and timely feedback.
• Make sure you own or have permission to use any text, images, logos or other material you give us.
• Keep your passwords and account access safe once we hand them over.

7. Ownership

Once you have paid in full, you own the final designs and website content created specifically for you. We keep ownership of our own tools, templates, code libraries and software products, and give you a licence to use them as part of your project. We may show completed work in our portfolio unless you ask us not to.

8. Cancellations and refunds

Cancellations and refunds are handled under our Refund Policy, which forms part of these terms.

9. Limits of liability

We provide our services with reasonable care and skill. We are not responsible for losses caused by third-party providers (such as hosting companies, domain registrars, Google, Meta or app stores), by events outside our control, or by changes you or others make to your website or accounts. Our total liability for any claim is limited to the amount you paid us for the service concerned. Search rankings and advertising results are not guaranteed.

10. Website use

You may not misuse this website, try to break its security, or copy its content for commercial use without our permission. We may update the website and these terms at any time; the version shown here applies from the date above.

11. Privacy

How we use your personal information is explained in our Privacy Policy.

12. Governing law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah. Any dispute will be handled by the competent courts of Sharjah, UAE. The United Arab Emirates is our country of domicile.
