ADNYS FZE Seller Agreement · Version 1.0 – 8 October 2026
This agreement is between ADNYS FZE, a Free Zone Establishment licensed by the Sharjah Research, Technology and Innovation Park (SRTIP) Free Zone, Sharjah, United Arab Emirates (licence no. 9380, TRN 105077502000001) ("ADNYS"), and the person or business whose details are given on the partner sign-up form ("Partner").
1. What this agreement is for
- The Partner creates digital products or services, such as software, apps, templates, designs, invitations, videos or tools ("Products").
- ADNYS may list and sell approved Products to its customers as part of its IT consultancy and digital support services. ADNYS sells in its own name and is the seller to the customer.
- This arrangement is non-exclusive. The Partner is an independent contractor, not an employee, agent or legal partner of ADNYS. Neither party may make promises on behalf of the other.
2. Sign-up and identity checks
- The Partner must give true and complete information, a valid government ID (passport, Emirates ID or national ID) and a working email and phone number, and must keep them up to date.
- ADNYS may verify the information, ask for more documents, and refuse or end the arrangement at its discretion.
- The Partner confirms they are at least 18 years old, are not on any sanctions list, and are allowed to carry out this work where they live.
- This agreement takes effect when the Partner signs it electronically and ADNYS confirms approval by email.
3. Products
- The Partner promises that each Product:
- is the Partner's own work, or the Partner has every right needed to sell it;
- does not copy or infringe anyone else's rights;
- contains no malware, hidden tracking or unlawful content;
- works as described.
- ADNYS decides which Products are listed, how they are described and shown, and may remove a listing at any time.
- The Partner must tell ADNYS promptly about any defect, security issue or change to a Product.
4. Prices, invoices and payments
- ADNYS sets the customer price in AED after discussing it with the Partner. ADNYS issues all invoices to customers from its billing system, adds VAT where it applies, and collects all payments.
- The Partner must not ask ADNYS customers to pay the Partner directly.
5. Commission and payouts
- For each sale, ADNYS keeps a commission. The rate is stated in the Partner's approval email; if none is stated, it is 25%. Commission is calculated on the amount actually received from the customer, excluding VAT and payment processing fees ("Net Amount").
- The Partner receives the Net Amount minus the commission ("Partner Share").
- Payouts are made by the 15th of each month. Each payout covers sales from the previous month whose refund period has ended. A statement of sales and commission comes with each payout.
- Payouts are made by bank transfer to an account in the Partner's own name. Payouts below AED 100 are carried forward to the next month. Bank charges for international transfers are paid by the Partner.
- ADNYS may hold back a payout for a sale that is disputed, under investigation or suspected to be fraudulent until the matter is resolved.
- The Partner is responsible for their own taxes on the Partner Share.
6. Delivery and support
- ADNYS is the customer's main contact. The Partner must deliver and support the Products as agreed for each listing, and at minimum must:
- reply to ADNYS support requests within 2 working days;
- fix serious faults within 5 working days.
- For 12 months after an introduction, the Partner must not approach ADNYS customers to sell to them directly, cutting ADNYS out.
7. Refunds and chargebacks
- Customers get refunds under the ADNYS Refund Policy published on adnys.com.
- If a sale is refunded or charged back, the Partner Share for that sale is not paid or is deducted from future payouts. If the refund or chargeback was caused by a fault in the Product or by the Partner, the related payment fees are deducted as well.
8. Ownership and licence
- The Partner keeps ownership of their Products.
- The Partner gives ADNYS a non-exclusive, worldwide licence, for as long as this agreement lasts, to:
- market, demonstrate and sell the Products;
- grant customers the right to use what they buy.
Customers keep their rights after the agreement ends.
- The Partner may use the ADNYS name or logo only with ADNYS's written approval.
9. Confidentiality and customer data
- Customer details belong to ADNYS. The Partner may use them only to deliver and support the Products, must keep them secure and confidential, and must delete them when no longer needed.
- Both parties will follow UAE data protection law, including Federal Decree-Law No. 45 of 2021.
10. Conduct
The Partner will not make misleading claims, offer or accept bribes, or do anything that harms ADNYS's reputation, and will follow all laws that apply to them.
11. Ending the agreement
- Either party may end this agreement with 30 days' written notice by email.
- ADNYS may end it immediately if the Partner breaks this agreement, gives false information, or is involved in fraud or illegal activity.
- After the agreement ends:
- ADNYS removes the listings;
- the Partner keeps supporting Products already sold for 30 days;
- the final payout is made after the last refund period ends.
12. Liability
- The Partner will cover ADNYS for losses, claims and costs caused by the Partner's Products, including copyright or similar claims, or by a breach of this agreement.
- ADNYS's total liability to the Partner is limited to the commission ADNYS earned from the Partner's Products in the 3 months before the claim. Neither party is liable for indirect losses or lost profits.
13. Electronic signature and records
The parties agree that this agreement may be signed electronically under UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services. The Partner's typed full name, ticked confirmation, and the date, time and internet address (IP) recorded at signing make up the Partner's signature. ADNYS keeps a record of the signed version. ADNYS's approval email is its acceptance.
14. Changes
ADNYS may update this agreement by giving 30 days' notice by email. If the Partner keeps their Products listed after that date, the Partner accepts the update.
15. Law and disputes
This agreement is governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah. The courts of Sharjah have jurisdiction over any dispute. The parties will first try to resolve any dispute in good faith by email or meeting.
